Terms of Service

These terms of service (these "Terms") set out the conditions under which Masanori Iwata (sole proprietor; "we", "us", "our"), under the brand "Orumio", provides Yorimi (the "Service"). By using the Service, users (including hosts and guests, collectively "Users") agree to these Terms.

1. Application and changes

  1. These Terms apply to all matters relating to the use of the Service between Users and us.
  2. We may revise these Terms from time to time. We will provide notice of material changes on the Service or by email, and the revised Terms will apply from the effective date.
  3. Notification to existing users will be sent by email and no functional restrictions will be imposed. Consent to the revised Terms will be obtained when a new account is created or a new paid subscription is initiated.

2. Operator (Business operator disclosure under the Act on Specified Commercial Transactions)

The Service is offered under the brand "Orumio", but the legal operator is the following sole proprietor. Pursuant to Article 11 of the Act on Specified Commercial Transactions and Japan Consumer Affairs Agency Act on Specified Commercial Transactions Guideline Q17, the following business operator information is displayed:

3. Description of the Service

The Service is a software service that enables Airbnb and short-term-rental property operators ("hosts") to share host-curated local recommendations with their guests through a single share URL.

  • Hosts may register properties and recommendations on the Service and issue share URLs for their guests.
  • Guests may view such recommendations through the share URL provided by the host.
  • The Service is not a party to any accommodation or experience contract or transaction between hosts and guests and does not mediate their bookings or payments.
  • Host features are offered with residents of Japan as the primary audience; guest features are offered with international use in mind (see Privacy Policy §1).

4. Accounts

  • Use of the host features of the Service requires account registration using an email address.
  • You must keep your registration information accurate and up to date.
  • You are responsible for managing your account credentials. If you become aware of unauthorised use, please contact us promptly.
  • Registration as a host and subscription to paid plans is restricted to those who are at least 18 years of age.
  • Use of share URLs as a guest is intended for those who are at least 13 years of age.

5. Fees and payment (Article 11 + Article 12-6 "subscription contract" disclosure under the Act on Specified Commercial Transactions)

Plan structure

The Service offers a free plan and paid plans (a Plus plan with a trial period and a Suite plan). Details of plan features, the maximum number of properties that may be registered, fees and other terms are displayed on the plan management page inside the host dashboard.

Service provision timing

  • Service is provided immediately upon payment completion, and continuously throughout the monthly contract period.
  • Service is also provided during the trial period.

Consideration, payment timing and method

  • The monthly fee for the paid plan is automatically charged to your credit card in the same amount on each renewal date (except in case of plan change).
  • Payments are processed through Stripe. Payment methods, billing cycles and automatic renewal conditions follow Stripe's terms.
  • If you do not cancel during the trial period, your subscription will automatically convert to the paid plan at the end of the trial and your registered payment method will be charged.
  • Fees, trial periods and feature scope are subject to change at our discretion with prior notice.
  • Whether taxes (such as consumption tax) are included in or added to the displayed prices is indicated on the dashboard.
  • Shipping and other additional charges: The Service is a digital service; not applicable.

Subscription contract disclosure

  • This contract is a subscription contract (monthly automatic renewal). The monthly fee will be charged continuously unless cancelled.

Cancellation

  • Hosts may cancel paid plans at any time from the plan management page.
  • Cancellation procedure: Dashboard → Plan management page → "Cancel" → Confirm → Finalize.
  • After cancellation, paid features will remain available until the end of the current billing period.
  • Fees already paid are non-refundable except where required by law.

6. Content and rights

  • Ownership: Copyright in property information, recommendations, welcome messages, images and other content registered by a host on the Service (collectively "Host Content") belongs to the host.
  • Licence to us: For the purpose of operating the Service, hosts grant us a non-exclusive, worldwide, royalty-free licence to host, cache, display, technically optimise (including compression, transformation and thumbnail generation) and display Host Content to guests via share URLs.
  • Guest use: Guests may view Host Content displayed via share URLs for personal use only. Redistribution, reproduction and commercial use are prohibited.
  • Representations and warranties: Hosts represent and warrant that they have the necessary rights in their Host Content and that it does not infringe the rights of third parties or violate applicable laws, contracts or property-use rules.
  • Indemnity: To the extent permitted by law, Users will indemnify, defend and hold us harmless from any damages, costs and expenses (including reasonable legal fees) arising from their content or actions.

Rights-infringement notices

  • On receipt of a notice, we will take reasonable measures such as removing or hiding the content.
  • The contributor may submit a counter-notice to support@yorimi.app, which we will review appropriately.

7. Prohibited conduct

Users must not engage in any of the following when using the Service:

  • Violations of laws, infringement of third-party rights, unauthorised disclosure of personal or sensitive information.
  • Registering content that encourages dangerous activity, trespass on restricted areas or private property without authorisation.
  • Registering discriminatory, defamatory, adult, illegal or otherwise inappropriate content.
  • Scraping, reverse engineering, vulnerability attacks, lending or transferring accounts.
  • Unauthorised commercial republication or redistribution via share URLs.
  • Use in violation of economic sanctions or export-control laws, or use by parties in sanctioned regions or by sanctioned persons.
  • Any other conduct we reasonably determine to be inappropriate.

8. AI features

If we offer AI features (such as recommendation assistance) in the future, input, output and metadata may be sent to AI service providers. The accuracy and suitability of AI-generated output is not guaranteed. Hosts must review and edit such content themselves before publication.

9. Changes and termination

  • We may modify, suspend or discontinue all or part of the Service for unavoidable reasons. We will provide reasonable notice of changes that have a material impact.
  • Where we have reasonable suspicion of rights infringement, fraud, security risk or similar issues, we may take provisional measures without prior notice, including removing content, suspending accounts and restricting functionality.

10. Disclaimer of warranties

The Service and its content are provided on an "as is" basis, and to the maximum extent permitted by applicable law we make no express or implied warranties. We do not warrant that the Service will be provided without interruption, will be error-free, or will be fit for a particular purpose.

11. Limitation of liability

  • Except in cases of wilful misconduct or gross negligence, we are not liable for indirect damages, loss of opportunity, loss of data, loss of profit or similar damages.
  • Our aggregate liability is limited to the greater of (a) the total fees paid by the relevant User to us in the most recent 12 months and (b) JPY 10,000.
  • Mandatory law reservation: In some jurisdictions, limitations of liability or disclaimers may not be enforceable. In such cases, these Terms will be modified to the extent required by applicable law and the relevant mandatory provisions will prevail.

12. Third-party services

The Service uses the following third-party services. Use of these third-party services is subject to the terms and policies of each provider.

  • Payment: Stripe
  • Infrastructure and delivery: Vercel (hosting, Vercel Blob, Functions), Neon (PostgreSQL database), Inngest (background jobs), Resend (email delivery)
  • Analytics: PostHog (pseudonymized session replay, event measurement), Sentry (error tracking)
  • Maps and place information: Google Maps Platform

The country of operation of each provider and our measures for international transfers are set out in Privacy Policy §8.

13. Governing law and jurisdiction

  • These Terms are governed by the laws of Japan.
  • Any disputes will be submitted to the Tokyo District Court as the court of exclusive jurisdiction for the first instance, except where consumer-protection laws provide otherwise.

14. Language

The Japanese version of these Terms is the authoritative text, and the English version is a reference translation. In the event of any inconsistency, the Japanese version prevails.

15. Notices

We provide notices through postings on the Service, in-app notifications or by sending email to your registered email address. Notices are deemed to have been delivered when sent, subject to reasonable exceptions.

16. Force majeure

We are not liable for delays or non-performance caused by natural disasters, power outages, communication failures, cyber attacks, changes in law, government measures, labour disputes, failures of third-party services or other events beyond our reasonable control.

17. Assignment

We may assign our position, rights and obligations relating to the Service to a third party through merger, corporate split, business transfer or similar transactions. Users agree to such assignments.
